By purchasing or using any Prompt Flipping™ product or service, you agree to these Terms. Please read them carefully.

1. Who we are

Prompt Flipping™ ("we", "us", "our") is operated by Theo Gilardo, a sole proprietor based in Amsterdam, Netherlands. Contact: mark@promptflipping.co.

2. What you're buying

Prompt Flipping™ products are digital educational materials — videos, written guides, PDF templates, downloadable swipe files, and (for select tiers) a 1:1 consulting call. The materials are delivered electronically via your members area at member.promptflipping.co.

3. License (what you can and can't do with the content)

When you buy a Prompt Flipping™ product, we grant you a personal, non-exclusive, non-transferable license to view, download, and apply the materials in your own business.

You may NOT:

• Resell, redistribute, or share the materials with anyone else
• Post the materials publicly (on blogs, YouTube, file-sharing sites, Discord servers, etc.)
• Use the materials to create a directly competing product
• Remove copyright notices or claim authorship
• Train AI models on our content without written permission

Violation of this license may result in immediate termination of your access without refund and, in serious cases, legal action.

4. Payment, billing, and price changes

• All prices are in USD unless otherwise stated.
• One-time purchases are charged in full at checkout.
• For payment-plan products (e.g. $49 × 2, $27 × 4), you authorise us to charge the same card on the agreed schedule. Failed payments may result in temporary suspension of access until resolved.
• We may change product pricing at any time. Changes don't affect orders already placed.

5. Refunds

We offer a 180-day money-back guarantee on most products. See our Refund Policy for full details and exclusions.

6. Account & access

• Your members-area access is tied to the email you used at checkout. Use the same email when logging in.
• Keep your login credentials private. You're responsible for activity on your account.
• Sharing accounts with anyone else is prohibited. We may revoke access for shared accounts without refund.
• We may suspend or terminate accounts that violate these Terms.

7. No income or results guarantee

Prompt Flipping™ teaches a methodology. We do not guarantee any specific outcome, income, or results. Your success depends on your effort, market conditions, and many factors outside our control. See the Earnings Disclaimer for the full disclosure.

8. Third-party services

We use Stripe (payments), Clerk (auth), Resend (email), Vercel (hosting), and Cloudflare (DNS/CDN) to deliver the product. Their respective terms also apply to your use of the service. We are not responsible for outages or issues caused by these third parties.

9. Intellectual property

All Prompt Flipping™ content (text, video, audio, code, designs, branding) is the property of Theo Gilardo and protected by copyright and trademark law. The Prompt Flipping™ wordmark is a trademark of Theo Gilardo.

10. Disclaimer of warranties

The service and content are provided "as is". We make no warranty that the service will be uninterrupted, error-free, or meet your specific needs. To the maximum extent permitted by law, we disclaim all implied warranties.

11. Limitation of liability

To the maximum extent permitted by Dutch law, in no event shall Theo Gilardo, Prompt Flipping™, or any of our service providers be liable for any indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability for any direct damages is limited to the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claim arising from your breach of these Terms, your use of the service, or your violation of any law or third-party right.

13. Termination

You may stop using the service at any time. We may suspend or terminate your access if you breach these Terms. Termination does not entitle you to a refund unless covered by our Refund Policy.

14. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Any dispute will be subject to the exclusive jurisdiction of the courts of Amsterdam, unless you are a consumer and applicable consumer-protection law requires otherwise.

15. EU consumer right of withdrawal

Under EU consumer law, you normally have a 14-day right of withdrawal on digital purchases. However, by accepting these Terms and starting to use the digital content immediately after purchase, you expressly waive your right of withdrawal for the digital content you've accessed. Our voluntary 180-day refund offer (see Refund Policy) goes far beyond this minimum.

16. Changes to these Terms

If we materially change these Terms, we'll notify active customers by email at least 14 days before the change. Continued use after the change means you accept the new Terms.

17. Severability

If any clause of these Terms is found unenforceable, the rest remains in effect.
